COIAF Marketplace Terms and Conditions

These Marketplace Terms and Conditions govern purchases made through the Colorado Italian American Foundation (“COIAF,” “we,” “us,” or “our”) Marketplace. By submitting an order, you agree to these Terms and Conditions, our Refund and Returns Policy, and any additional terms presented during checkout.

1. Marketplace Operator

The marketplace operator is Colorado Italian American Foundation, a registered non-profit 501(c)(3) philanthropic heritage & culture organization.

2. Products

COIAF offers commemorative and related merchandise supporting its cultural, educational, community, and scholarship fundraising activities. Product descriptions, dimensions, materials, photographs, and availability are provided in good faith and are intended to be as accurate as reasonably possible.

Color variations and visual details may appear somewhat different depending on the customer’s screen, browser, lighting, and display settings compared to the actual delivered product.

3. Prices and Currency

All prices are stated in United States dollars. Prices displayed in the Shopping Cart and at Checkout control the final merchandise charge. Applicable shipping charges and taxes, when required, are shown separately before the order is submitted.

COIAF may change or offer promotional terms at any time before an order is placed. Price changes will not alter an order that has already been accepted and paid, except when correcting an obvious pricing or technical error with the customer’s approval.

4. Automatic Commemorative Throw Volume Pricing

Pricing of all items offered on the COIAF Marketplace as clearly stated on the listing page.

Volume pricing may be offered but is not guaranteed; if you ahve a special interst or request please contact the office with your inquiry by visiting the CONTACT US page.

If a return reduces the number of eligible throws retained by the customer, the refund may be recalculated using the volume-pricing tier applicable to the quantity retained. Any such adjustment will be explained when the return is processed and will remain subject to applicable law and the published Refund and Returns Policy.

5. Orders and Order Acceptance

Submitting an order constitutes an offer to purchase the selected merchandise. An automated order acknowledgement confirms that we received the order but does not guarantee acceptance or shipment.

COIAF may decline or cancel an order when merchandise is unavailable, payment cannot be authorised, information appears inaccurate, fraud is suspected, or a material pricing or technical error has occurred. If payment has already been collected for an order that COIAF cancels, the applicable payment will be refunded.

6. Payment

Customers may use the payment methods displayed at Checkout. Available methods may include major credit and debit cards, Apple Pay, and Google Pay. Payment services are provided through authorised third-party payment processors.

By submitting payment information, the customer represents that they are authorised to use the selected payment method and authorises the order total to be charged.

COIAF does not directly receive or retain the customer’s complete payment-card number.

7. Taxes

Sales tax or other transaction taxes will be charged when required by applicable law. Any required amount will be calculated and displayed at Checkout before the customer submits the order.

8. Shipping and Delivery

Available delivery methods, shipping charges, and any available delivery estimates will be presented during Checkout. Delivery dates are estimates unless expressly identified as guaranteed.

If COIAF cannot ship an order within the stated or legally applicable period, the customer will be notified and offered the opportunity to consent to the delay or cancel the affected order for a refund.

Customers are responsible for providing a complete and accurate delivery address. Additional charges caused by an incorrect or incomplete address, refused delivery, or unclaimed package may be the customer’s responsibility when permitted by law.

Risk of loss transfers to the customer upon delivery to the address supplied with the order, except where applicable law provides otherwise.

9. Order Changes and Cancellations

Requests to change or cancel an order should be sent promptly to . COIAF will make reasonable efforts to accommodate the request but cannot guarantee that an order can be changed or cancelled after processing, packing, or shipment has begun.

10. Refunds, Returns, and Damaged Merchandise

Refunds, returns, exchanges, damaged shipments, incorrect merchandise, and related procedures are governed by the COIAF Refund and Returns Policy, which is incorporated into these Terms and Conditions.

Customers should inspect delivered merchandise promptly and contact as soon as reasonably possible regarding merchandise that arrives damaged, defective, or different from the item ordered.

11. Product Availability

All products are subject to availability. Placing an item in the Shopping Cart does not reserve inventory. If an item becomes unavailable after an order is submitted, COIAF may contact the customer regarding an alternative, delayed fulfilment, partial shipment, or cancellation and refund.

12. Fundraising Purpose and Tax Treatment

Marketplace proceeds support COIAF’s programmes and scholarship fundraising mission. A customer purchasing merchandise receives goods in exchange for payment.

Unless COIAF provides a separate written acknowledgement expressly stating otherwise, a Marketplace merchandise purchase should not be treated as a charitable contribution or represented as tax deductible. Customers should consult their own tax adviser regarding their individual circumstances.

13. Personal Information

COIAF and its service providers may collect and process information needed to administer orders, receive payment, provide delivery, communicate with customers, prevent fraud, maintain records, and comply with legal obligations.

Payment processors, shipping providers, hosting providers, and other service providers may process information according to their own privacy and security practices.

14. Acceptable Use

Customers may not use the Marketplace to:

  • Provide false, misleading, or fraudulent information;
  • Use a payment method without authorisation;
  • Interfere with the operation or security of the website;
  • Attempt to obtain merchandise through fraud or technical manipulation;
  • Violate any applicable law or regulation.

15. Intellectual Property

COIAF names, logos, artwork, Marketplace designs, photographs, written material, and other protected content may not be copied, reproduced, distributed, altered, or commercially used without prior written permission, except as allowed by applicable law.

Names, logos, and marks belonging to participating organisations or third parties remain the property of their respective owners.

16. Disclaimer

The Marketplace and its content are provided on an “as available” basis. COIAF does not guarantee uninterrupted website access or that the Marketplace will always be free from technical errors.

Nothing in these Terms excludes or limits any warranty, consumer protection, remedy, or right that cannot lawfully be excluded or limited.

17. Limitation of Liability

To the fullest extent permitted by applicable law, COIAF will not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Marketplace or purchase of merchandise.

COIAF’s total liability relating to a particular order will not exceed the amount paid for that order, except where a greater remedy is required by law.

18. Events Beyond Reasonable Control

COIAF will not be responsible for delays caused by circumstances reasonably beyond its control, including severe weather, carrier interruptions, natural disasters, labour disruptions, governmental actions, system failures, or supply interruptions. Customer cancellation and refund rights required by law remain unaffected.

19. Governing Law

These Terms are governed by the laws of the State of Colorado and applicable federal law, without regard to conflict-of-law principles. Any dispute will be handled by a court with proper jurisdiction unless the parties agree to another lawful resolution process.

20. Changes to These Terms

COIAF may revise these Terms periodically.

The version in effect when an order is submitted governs that order. The date shown at the top of this page identifies the latest published version.
